The M&A Intermediary’s job is to assemble a portfolio of profitable companies for sale, to match those clients with qualified buyers, and negotiate and manage the closing process.

Two realities of the M&A field compel the M&A Intermediary to maintain an exclusive and confidential relationship with portfolio Clients:
  • There are always many more buyers than profitable companies for sale.
  • Many Buyers, especially the large corporations, have expertise in acquisitions, while most Sellers only sell their business once. Therefore they need a lot more assistance.
  • The continuous, smooth operation of the Client Company is critical to its profitability, and thus its sale value, so the entire sale process must be strictly confidential.
  • Consequently, a Client Company for sale does not appear on multiple listings, and the Broker acts as sole Intermediary for the Seller as Client.
This structure of representation behooves the serious Buyer, in turn; to contact all qualified M&A Intermediaries in their area when ready to begin the purchasing process. Understandably, no M&A Intermediary is prepared to reveal confidential and thus valuable information to an unqualified party. The Buyer should anticipate a request from the Intermediary for information that demonstrates the sincerity and validity of any purchase offer.
